Terms of Service

Plain terms for working with Betacode: website design and build projects, and the monthly care plans that keep a site running afterwards. If anything below is unclear, email us before you commission any work.

Who these terms cover

These terms are between Betacode ("we", "us", "our"), operated by Eriq, a designer and developer based in Manchester, and the business or individual commissioning a website or care plan ("you", "the client"). By approving a written quote, signing up to a care plan, or otherwise instructing us to start paid work, you agree to be bound by these terms.

Services we provide

We design and build websites, and offer ongoing monthly care plans to keep them hosted, secure and up to date, as described on our pricing page. Every project is quoted and delivered by one person, start to finish: we don't hand your project off to account managers or subcontract the work without telling you first.

The free demo

Before any commercial engagement, we may build you a free working demo of a website for your business, using information you've given us and, where real content isn't available yet, placeholder or illustrative content (sample reviews, stock photography and similar). This is offered entirely free and with no obligation to buy: if it's not for you, you can simply delete the link and you won't hear from us again, and no invoice will follow.

The demo remains our intellectual property throughout, and nothing about it is licensed to you, until you commission a project and the relevant fee (or first instalment, if paying monthly) is paid, at which point ownership passes as set out in Intellectual property below. We may take a demo offline or delete it at any time before it's commissioned, and you're free to stop looking at it whenever you like too. Because a demo may include placeholder or illustrative content to show the site working, please don't treat anything on it as published, final, or representative of your finished site until we've agreed the details together.

Quotes & pricing

The tiers shown on our pricing page are indicative, from-prices for typical scope. The final price for your project is confirmed in writing, by email or a written quote, once we understand your specific requirements, and that written figure is what we invoice against, not the headline from-price.

As an alternative to paying for a build upfront, we offer a combined build-and-care monthly plan at £0 down: the build and a care plan are spread over a fixed 24-month term, billed by a single Direct Debit. This option is available on our Starter and Growth build tiers only; Premium builds, which involve booking systems or third-party integrations, are one-off only and aren't offered on the monthly plan.

During the 24-month term we continue to host, secure and support the site as part of the plan, and the website belongs to you once the full term has been paid, as described on our pricing page. If you cancel the monthly plan before the end of the term, the amounts already paid cover the design, hosting and support already delivered and aren't refundable, and we may take the site offline and withhold the underlying files until we've agreed with you how any work already done, and not yet covered by payments made, will be settled.

Payment terms

For one-off projects, we typically ask for a deposit before work starts and the balance on completion, as set out in your written quote. Care-plan and monthly-plan payments are collected in advance, on the same date each month.

If an invoice isn't paid by its due date, we're entitled to charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, along with our reasonable costs of recovering the debt, and we may pause work, care-plan services, or access to your site until payment is received.

Timelines

The timelines shown on our website, for example "live in 7 days" for a Starter site, "live in 10 days" for a Growth site, or "live in 2–3 weeks" for a Premium build, are targets, not guarantees. They assume you provide the content, feedback and approvals we ask for promptly. If content or sign-off is delayed on your end, your launch date moves back by a similar amount. We'll always tell you if something on our side is going to affect your date.

Your responsibilities

To hit the timelines above and build a site that represents your business accurately, you agree to:

  • provide the text, photos, logos, reviews and other content we need in reasonable time, and give feedback and approvals when we ask for them;
  • have the right to use anything you supply us (photos, logos, testimonials or other third-party content), and confirm you hold any necessary licences or permissions for it. You're responsible for that content, and for any claim that it infringes someone else's rights;
  • make sure any claims about your own business (professional accreditations, certifications, registration numbers, awards or similar) that you ask us to publish are accurate and current. We'll build the site around what you tell us, but we don't independently verify professional credentials, and you're responsible for the accuracy of your own business claims.

Intellectual property

Once your final invoice for a project is paid in full (or, on the monthly plan, once the 24-month term is complete), ownership of the finished website, as built for you, transfers to you. You're then free to host it, edit it or move it elsewhere, subject to the terms of any third-party services it depends on (below).

We retain ownership of our own pre-existing tools, code, templates and processes used to build your site, and of any demo work not yet commissioned (see The free demo, above); using these in your project gives you the right to keep using them as part of your finished site, not ownership of them.

Unless you tell us otherwise, we may show your finished site (screenshots, links or a short case study) in our own portfolio and marketing. If you'd rather we didn't, just let us know and we'll leave it out.

Care plan / ongoing maintenance

Care plans keep a live site hosted, secure and up to date, billed monthly in one of three tiers described on our pricing page: Essential, Standard and Priority. Each tier includes hosting, SSL and backups, a monthly allowance of content-edit time (changes to content that already exists on the site: text, photos, prices, opening hours and adding reviews), and a support response time that improves with each tier. New pages, new features and redesigns aren't covered by any tier and are quoted separately.

Builds that include booking and integrations (the Premium build tier) require Standard care as a minimum.

Unused content-edit time doesn't carry over to the next month, and the monthly allowance is intended for reasonable, ordinary use. If your requests are consistently larger than your plan's allowance, we'll let you know and quote any extra time separately rather than silently absorbing it or cutting corners elsewhere.

A standalone care plan, one not bundled into the £0-down monthly build payment, runs monthly with no minimum term, and either of us can cancel with 30 days' written notice. If you cancel, cover for hosting, security and support ends at the close of the then-current billing month, and we'll help you export your content and hand over access as described in Termination & data handover, below.

Third-party services

Some parts of your site or care plan may depend on third-party services, for example hosting providers, domain registrars, payment processors, booking or CRM integrations, and plugins. Those services are governed by their own terms and privacy policies, and we're not responsible for outages, price changes or policy changes made by those providers, though we'll do what we reasonably can to limit the impact on you.

Warranties & liability

We provide our services with reasonable skill and care, but we don't promise or guarantee any particular business outcome, for example a specific number of enquiries, bookings or a search ranking, since those depend on factors outside our control.

Nothing in these terms limits or excludes liability that can't be limited or excluded by law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Subject to that, our total liability to you arising out of or in connection with our services, whether in contract, tort (including negligence) or otherwise, is capped at the total fees you've paid us in the 12 months before the claim arose, and we're not liable for indirect or consequential loss, including loss of profit, loss of business or loss of data.

Termination & data handover

Either of us can end a project or care plan in line with the notice periods set out above, or immediately if the other is in serious or repeated breach of these terms and doesn't fix it within 14 days of being asked to. On ending a care plan or project, provided any outstanding fees have been paid, we'll export your site's content and provide reasonable handover assistance, for example DNS details or access to your hosting account, so you can keep running your site elsewhere.

Governing law

These terms are governed by the law of England and Wales, and any dispute relating to them is subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these terms from time to time, for example to reflect a change in our services or the law. We'll post the updated version here with a new "last updated" date; changes won't apply retrospectively to a project or care plan already covered by a signed written quote, unless we agree that with you in writing.

If any part of these terms is found to be unenforceable, the rest continues to apply.
